A limited partnership is a partnership formed by two or more persons having one or more general partners and one or more limited partners. A Pennsylvania limited partnership is formed by filing a Certificate of Limited Partnership. The Certificate of Limited Partnership must contain the following information:
The limited partnership name must be available for use.
An actual street or rural route box number is required. A P.O. Box alone is not acceptable. A Commercial Registered Office Provider's address is acceptable.
The form shall be executed by all general partners named therein. It is not necessary to name the limited partners in the Certificate of Limited Partnership.
The application must be signed by all general partners.
