Limited Liability Company

The limited liability company (LLC) is an association of one or more persons which provides the liability protection of a corporation, with many of the tax advantages of a partnership or a sole proprietorship.  A person forming an LLC is referred to as an organizer and a person admitted to an LLC is called a member. 

A Limited Liability Company is formed by filing a Certificate of Organization with the Corporation Bureau, Department of State, on form DSCB: 15-8913, accompanied by a Docketing Statement, form DSCB:15-134A.  A foreign (non-Pennsylvania) Limited Liability Company may file to conduct business in the Commonwealth by filing an Application for Registration on form DSCB: 15-134A.
